WHEREAS the Ontario Non-Profit Corporations Act (the "Act") requires that non-profit corporations have their financial statements audited annually unless an audit is waived by special resolution of the members;

AND WHEREAS the Board of Directors of Rainbow Routes Association has recommended that the members waive the audit for the financial year ending December 31, 2024;

NOW THEREFORE BE IT RESOLVED AS A SPECIAL RESOLUTION THAT:

1. Waiver of Audit: The members of Rainbow Routes Association hereby waive the requirement for an audit of the financial statements for the fiscal year ending December 31, 2024, in accordance with the provisions of the Ontario Non-Profit Corporations Act.

2. Alternate Review: Instead of an audit, the financial statements for the aforementioned fiscal year shall be subject to a review engagement, as permitted under the Act.
